These Terms of Service ("Terms") govern your access to and use of the RouteNavigator website at routenavigator.com (the "Site") and, where applicable, our route, fleet, and work order management platform (the "Service"), provided by RouteNavigator ("RouteNavigator," "we," "us," or "our"). By accessing the Site or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.
If you are a paying customer of the Service, your use of the Service is also governed by your separately executed subscription or order agreement with RouteNavigator; if there is a conflict between that agreement and these Terms, the subscription agreement controls for use of the Service.
1. Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that violates applicable law, infringes the rights of others, interferes with the operation of the Site, or attempts to gain unauthorized access to our systems.
2. Accounts
Certain features of the Service require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account.
3. Intellectual Property
The Site and Service, including all text, graphics, logos, and software, are owned by RouteNavigator or our licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from any part of the Site or Service without our prior written consent.
4. Submissions
If you submit information through a contact, demo request, or similar form, you grant us the right to use that information to respond to you and, where you have consented, to send you marketing communications, as described in our Privacy Policy.
5. Third-Party Links and Services
The Site may link to or integrate with third-party websites or services (including analytics and live chat providers). We do not control and are not responsible for the content or practices of any third-party site or service.
6. Disclaimers
The Site and Service are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site or Service will be uninterrupted, secure, or error-free.
7. Limitation of Liability
To the fullest extent permitted by law, RouteNavigator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of the Site, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
8. Indemnification
You agree to indemnify and hold RouteNavigator harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or violation of these Terms.
9. Governing Law
These Terms are governed by the laws of the State of Idaho, without regard to its conflict of law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Kootenai County, Idaho.
10. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
